Transaction Structure and Medicare Enrollment Environment
CMS imposed a six-month nationwide moratorium on new Medicare enrollment by home health agencies effective May 13, 2026. The moratorium applies to initial enrollments, new branches and practice locations, and non-exempt changes in majority ownership that require initial enrollment under 42 CFR 424.550(b). CMS may extend the moratorium in six-month increments.
CMS guidance states that a change in majority ownership occurring more than 36 months after initial enrollment or the most recent change in majority ownership generally does not cause a home health agency to be treated as a new provider. Based on seller-provided information, this agency is outside that 36-month window. The proposed transaction is intended to be processed with the buyer accepting assignment of the existing Medicare provider agreement. Final treatment is transaction-specific and subject to CMS and MAC review.
For CY 2026, CMS projected that the final rule’s combined policies would reduce aggregate home health agency payments by 1.3% relative to CY 2025. Actual effects vary by provider. CMS previously applied permanent PDGM-related rate reductions in CY 2023, CY 2024, and CY 2025.
