Why This Opportunity Matters Right Now
On May 13, 2026, CMS imposed a nationwide moratorium on new Medicare enrollment for home health agencies (CMS-6101-N). The initial term runs through approximately November 12, 2026, and CMS may extend it in successive six-month increments. During that window no new home health agency, branch, or practice location can enroll in Medicare anywhere in the country. Arizona was among the states whose enrollment growth CMS cited in imposing it.
The moratorium also blocks re-enrollment where a change in majority ownership falls within 36 months of initial enrollment or the most recent change in majority ownership.
This agency was initially Medicare certified in October 2021 and has never undergone a change of ownership. That is roughly four years and ten months of unbroken enrollment tenure as of August 21, 2026, well outside the 36-month window. Acquiring the equity of an already-enrolled Arizona provider with a clean ownership history is one of the few remaining paths to an operating Arizona Medicare provider number while the moratorium holds. Buyer counsel should run the analysis independently.
The Platform
An operating agency with infrastructure already in place, not a shell and not a startup enrollment.
Certification and Licensure
- Medicare certified since October 2021. Active provider number and active organizational NPI confirmed in public records as of August 21, 2026
- Medicaid certified and enrolled with AHCCCS (Arizona Medicaid)
- Accredited by ACHC
- Licensed by the Arizona Department of Health Services
- No prior change of ownership
Service Footprint
The state license permits operation within a 60-mile radius of the Phoenix office, covering the Greater Phoenix metropolitan area, Maricopa County and portions of Pinal County. The licensed area includes Phoenix, Scottsdale, Paradise Valley, Tempe, Mesa, Chandler, Gilbert, Queen Creek, Apache Junction, Fountain Hills, Carefree, Cave Creek, New River, Peoria, Glendale, Surprise, El Mirage, Avondale, Goodyear, Litchfield Park, Buckeye, Tolleson, Youngtown, Sun City, Sun City West, Guadalupe, Laveen, Maricopa and Casa Grande.
The area also reaches Native American communities including the Salt River Pima-Maricopa Indian Community and the Gila River Indian Community. The owner has established referral relationships within the tribal healthcare community that remain largely undeveloped and are available to a buyer willing to staff them.
Clinical and Operational
- Disciplines: skilled nursing, physical therapy, occupational therapy, speech therapy, medical social services
- Director of Clinical Services with approximately six years of tenure. The seller expects her to remain with a new owner, which carries clinical and operational continuity through the transition
- Established clinical staff and clinician network, W2 model
- Established clinical and administrative infrastructure, with EMR and billing processes in place and running
- Remote Patient Monitoring available for patients with chronic conditions
- Spanish-speaking clinical staff
Payer Relationships
Broad payer mix including Traditional Medicare, Blue Cross Blue Shield, Arizona Complete Health / Centene, Humana Medicare Advantage, UnitedHealthcare Medicare Advantage, UnitedHealthcare Commercial, UnitedHealthcare Medicaid/AHCCCS and ALTCS, Devoted Health Medicare Advantage through IHCS, HealthSpring/HCSC, GEHA, UMR, P3 Health Partners, and additional Medicare Advantage plans. The full accepted-insurance list is released to qualified buyers under NDA.
The Tango Referral Channel
The agency completed onboarding with tango (Professional Health Care Network) in early August 2026. Tango is the Phoenix-based delegated post-acute network that manages home health referrals for Humana, HealthSpring and other health plans across Arizona.
The seller reports approximately 30 to 40 referral opportunities per day currently coming through the tango provider portal as of August 21, 2026. Capacity to accept them is the constraint. A buyer with intake and clinical staffing in place could convert a materially higher share of that flow.
This channel is roughly two weeks old and is not reflected in the 2025 revenue figure or in the current census.
Census and Growth Posture
Current census is 22 as of August 21, 2026. The agency has recently operated at a loss.
The owner has carried no dedicated business development function and has run the agency toward maintaining operations rather than pursuing census growth. Between the tango portal flow, the existing payer contracts, the 60-mile licensed footprint and the undeveloped tribal referral relationships, the growth path is defined and available to an operator with staff and resources to work it.
CMS quality measures and HHCAHPS results are not currently publicly reported for this agency in the July 15, 2026 CMS data refresh, consistent with current census volume.
What the Buyer Is Acquiring
Value sits in the Medicare and Medicaid certification, the unbroken enrollment tenure with no prior ownership change, the Arizona license and its 60-mile footprint, ACHC accreditation, the payer contracts, the clinical staff, the tango channel and the operating infrastructure.
- Suited to: an established home health or healthcare organization that already carries the staffing, resources and referral relationships to load volume onto this platform immediately, including the tango flow. Also suited to an operator with Arizona density wanting a second provider number ahead of any moratorium extension.
- Poor fit for: a buyer acquiring current cash flow, or a first-time owner looking to buy a job.
Financial Posture
This is priced as a licensure and platform acquisition. The agency is not currently profitable and the asking price is not derived from earnings.
- 2025 revenue: $364,491
- Recent operating results reflect a loss
- The owner serves as Administrator and draws no salary from the business. A buyer should underwrite the cost of an Administrator in its go-forward model
- The last twelve months carried one-time transition costs including a billing company change, an EMR conversion and a deliberate exit from certain payer business
- Business debt is expected to be retired at closing. An equity purchase is contemplated to preserve Medicare billing continuity
- Financial statements are released to qualified buyers under NDA as assembled
Transition
The owner will support a post-closing transition of up to 45 days, with 60 days as the outside limit, directed at clinical and operational continuity through the change of ownership. Where a buyer wants the owner to continue serving as Administrator of record through that period, that is negotiated as a separate transition services arrangement alongside the purchase price.
Terms
- Asking price: $475,000 as of August 21, 2026
- Structure: equity purchase, cash at closing
- Arizona home health licenses convey through a change of ownership approval process rather than by assignment. Buyers should budget regulatory timeline accordingly
